Our legal, policy, and trust, safety, and security team helps keep users and their stuff safe. We protect Dropbox, counsel Dropboxers on challenging problems, and stay in sync with the other teams here.

As lead counsel on corporate matters you’ll have a broad range of responsibilities counseling the company on issues of corporate governance, M&A, and securities law. Entrepreneurial by nature, you will have immediate impact with your analytic rigor, seasoned judgment, effective counseling, and ability to get things done. Responsibilities

  • Take accountability for important issues and decisions and see them through.
  • Advise on cross-functional company projects related to governance, corporate structure, and finance.
  • Advise the Board of Directors and company management on corporate governance issues.
  • Draft, negotiate and review all types of corporate agreements, including mergers and acquisitions.
  • Build and manage legal processes in conjunction with other function and legal leads.
  • Build a corporate legal team that exemplifies Dropbox values.

Requirements

  • Extensive experience with, and intellectually curious about, corporate governance and securities law topics.
  • Detail-oriented with strong organizational skills and proven ability to manage high-impact projects.
  • Skilled at drafting, negotiating and interpreting corporate agreements.
  • Exceptional written and verbal communication skills.
  • Comfortable navigating complicated, sensitive, and nuanced issues.
  • Guided by integrity. Sophisticated understanding, and commitment to, personal and professional ethics.
  • Great interpersonal skills and ability to work well in a fast-paced team environment.
  • 10+ years experience in a relevant setting.
  • JD, admitted to the Bar, distinctive academic record.
