Dropbox Space Race Program Terms

NO PURCHASE NECESSARY. VOID WHERE PROHIBITED BY LAW.

  1. Term. Individuals may participate in the Dropbox Space Race Program ("Program") from October 15, 2012 at 10:00 a.m. Pacific Time ("PT") to December 10, 2012 at 10:00 a.m. PT (the "Sign-Up Period"). Participants are required to determine the appropriate beginning and ending times in the Sign-Up Period for their respective jurisdictions. The Sponsor’s computer is the official time keeping device for the Program.

  2. Eligibility. There are two parts to the eligibility for the Program.

    1. First, each participant must meet the following eligibility criteria:

      1. Each participant must be fourteen (14) years or older;
      2. Each participant must be actively enrolled in a higher education institute, college, university, or the equivalent of a university ("Higher Education Institution");
      3. Each participant must have an active e-mail address from their Higher Education Institution; and
      4. Each participant must have access to the Dropbox web site located at www.dropbox.com.

      For the purposes of these Terms, the term "Participant" will be a person who meets each of the criteria listed above in this Section 2(A). Participants must have previously registered for a Dropbox account or sign up for a Dropbox account at the time of registering for the Program.

    2. Next, Participants must be a part of a Higher Education Institution that has at least twenty-five Participants who signed up for the Program ("Eligible Higher Education Institution").

      Only Participants who are a part of an Eligible Higher Education Institution are able to participate in the Program. For the purposes of these Terms, the phrase "Eligible Participant" will be a Participant who is a part of an Eligible Higher Education Institution. All other entries will not be considered. Dropbox reserves the right to verify eligibility and to adjudicate on any dispute at any time. If a dispute arises regarding who is entitled to participate and/or receive the free trial, the proper Eligible Participant will be the Authorized Account Holder of the e-mail address used to participate in the Program. "Authorized Account Holder" is defined as the natural person who is assigned to an e-mail address by an Internet access provider, online service provider, or other organization responsible for assigning e-mail addresses for the domain associated with the e-mail address. The Program is subject to all federal, state, and local laws and is void where prohibited. All Eligible Participants in the Program agree to be bound by these Terms and the decisions of the Sponsor. Sponsor and its affiliated and parent company, advertising and promotion agencies, are not responsible for printing, distribution or production errors and may rescind, cancel or revoke the Program based upon any such error without liability and at its sole discretion.

  3. How to Participate. To participate, Eligible Participants must take the following steps:

    • Sign up for the Program by visiting www.dropbox.com/spacerace;
    • Enter their Higher Education Institution e-mail address;
    • Verify that they are the Authorized Account Holder of the e-mail address used to sign-up for the Program;
    • Download and install the Dropbox software client (unless the client has previously been downloaded); and
    • Log-in to the Dropbox software client using the Dropbox account that was registered with the Program at www.dropbox.com/spacerace.

    Following sign up, Eligible Participants may begin to accumulate points as described below in Section 4. By participating in the Program, Eligible Participants will receive a two (2) year free trial of three (3) gigabytes ("GB") of storage space associated with their Dropbox account. Note that these 3 GB are in addition to the 2 GB received upon initial registration with Dropbox. Storage space received is not transferable or redeemable for cash and must be accepted as granted, with no substitutions of any kind, except by the Sponsor.

    ANY ADDITIONAL STORAGE SPACE EARNED THROUGH THE PROGRAM WILL EXPIRE ON JANUARY 15, 2015 ("EXPIRATION DATE"). FOLLOWING EXPIRATION OF ANY ADDITIONAL STORAGE SPACE, THE USER’S DROPBOX SERVICE WILL AUTOMATICALLY DOWNGRADE TO THE CURRENT AMOUNT OF FREE STORAGE SPACE OFFERED TO ALL USERS WITH FREE ACCOUNTS, UNLESS THE USER SIGNS UP FOR A DROPBOX PRO OR TEAMS SUBSCRIPTION.

  4. Higher Education Institution Participation Goals. Eligible Participants can receive additional storage space by earning their Eligible Higher Education Institution points ("Participation Points"). Participation Points can be earned by individuals in the following manner:

    Completing the "Get Started" Guide at www.dropbox.com/gs.2
    Referring a friend at your Higher Education Institution and having the friend sign-up up for free trial at www.dropbox.com/spacerace, downloading the Dropbox software client, and logging in to the Dropbox software client using the Dropbox account registered with the Program.1
    Having the referred friend at your Higher Education Institution that signed up for the Program also complete the "Get Started" Guide at www.dropbox.com/gs.2

    Dropbox will account for these Participation Points for each Eligible Participant who is entering from an Eligible Higher Education Institution. Each Eligible Higher Education Institution will be assigned three numerical thresholds. These numerical thresholds will be different for each Eligible Higher Education Institution because the number of points required to reach a threshold has been statistically normalized to account for the fact that schools with larger enrollments are able to earn points faster than schools with smaller enrollments. The required thresholds for an Eligible Participant’s Eligible Higher Education Institution will be listed on www.dropbox.com/spacerace once the Eligible Participant is logged in to their Dropbox account.

    Once the Eligible Participants from an Eligible Higher Education Institution have cumulatively earned enough Participation Points to surpass one of the three thresholds, each Eligible Participant from that Eligible Higher Education Institution will receive an e-mail informing them that they have received additional storage space in their Dropbox account. The storage space increases for passing each threshold will be as follows:

    Good news! As of November 12, 2012, Dropbox will double certain categories of the participation points contained in this Section of the Dropbox Space Race Program Terms. Until the conclusion of the Dropbox Space Race Program, the points earned for the two categories listed in the below chart have been doubled.

    The remainder of the information contained in Section 4 remains the same.

  5. Individual Participation Goals. Eligible Participants can also receive additional space individually by earning Participation Points. The twenty Eligible Participants with the most Participation Points at the end of the Sign-Up Period will receive a one (1) year free trial to a Dropbox Pro 100 account (includes 100 GB of storage space).

  6. Taxes. All federal, state and local taxes, as well as any other costs and expenses associated with acceptance and use of the storage space are the responsibility of the individual Eligible Participants.

  7. Terms Related to Dropbox Storage Space. The storage space received through the Program is governed by the terms located at www.dropbox.com/terms. By participating in the Program, Eligible Participants acknowledge that they have reviewed the terms located at www.dropbox.com/terms and that they agree to abide by them.

  8. General Terms. By participating in the Program, Eligible Participants: (a) agree, to the fullest extent of the law, to release and hold harmless Sponsor, and its respective parents, subsidiaries, affiliates, directors, officers, employees, and agents from any and all liability for any injuries, loss or damage of any kind arising from or in connection with the Program (including but not limited to the receipt, use or misuse of any storage space or any component thereof), and (b) grant to Sponsor the right to use and publish their proper name and state or province and/or country, statements, photograph, voice and/or likeness for any advertising and promotional purposes relating to the Program, in any media now known or hereafter devised, without further notice, compensation, consideration, review or consent and without regard to moral rights, except where prohibited by law.

    Sponsor assumes no responsibility or liability for the following: (a) telephone or technical malfunctions that may occur; (b) any incorrect or inaccurate information, any of the equipment or programming associated with or utilized in the Program, or any technical or human error which may occur in connection with the Program; (c) any injury or damage to participants related to or resulting from participating in the Program; or (d) any storage space received. If, for any reason, the Program is not capable of running as planned, including because of, tampering, unauthorized intervention, fraud, technical failures, force majeure, or any other cause beyond the control of Sponsor which may corrupt or affect the administration, security, fairness, integrity or proper conduct of the Program, Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify or suspend the Program. Sponsor reserves the right to change these Program Terms at any time, with or without notice.

  9. Privacy. By participating in the Program, Eligible Participants consent to the collection, use and disclosure of their personal information as described at www.dropbox.com/terms#privacy, and as is more specifically set forth in these Terms. Further, Eligible Participants consent to allow Sponsor to use their information for the purposes of administering the Program and servicing their free trial.

  10. Governing Law. These Terms are governed and interpreted by the laws of the State of California without regard to its conflict of law provisions.

  11. Arbitration. By participating in the Program, Eligible Participants agree that exclusive jurisdiction for any dispute, claim, or demand related in any way to the Program will be decided by binding arbitration. All disputes between Eligible Participants and Sponsor of any kind or nature arising out of these Terms, will be submitted to Judicial Arbitration and Mediation Services, Inc. ("JAMS") for binding arbitration under its rules then in effect in the San Francisco, California, USA area, before one arbitrator to be mutually agreed upon by both parties. The parties agree to share equally in the arbitration costs incurred.
